Corporate Governance

We have established a corporate governance system that serves as the backbone of Yatsugatake Mountain Range Management.

ARCS has established an internal control system to ensure that the entire group executes its social responsibilities and conducts business in accordance with corporate ethics. As a pure holding company responsible for overseeing and managing its subsidiary businesses, ARCS is dedicated to implementing sound corporate governance practices.
The Board of Directors consists of executives from various companies within the group and Directors meeting do the highest decision-making for the group, facilitating active discussions on management matters and swift decision-making. Additionally, the "Group Management Meeting," comprising directors, auditors, executive officers, and the presidents of all subsidiary companies, convenes to deliberate on important group matters and share the information to ensure unity of purpose across the group.
External auditors, including outside auditors, attend these meetings to oversee management decisions.
Furthermore, ARCS has established a framework to regulate and oversee all aspects of the business, from the executive level to individual store operations, ensuring that all aspects of the company adhere to the same standards

Compliance

We place emphasis on management transparency and disclose information timely with appropriate manner.​

ARCS Group discloses information to all stakeholders timely with appropriate manner. For external parties, we have a organization related to IR activities, and disclose financial information such as securities reports and financial statements on the Internet, and provide financial information to shareholders, investors, analysts, and the media. We are holding a briefing session. For internal stakeholders, we regularly issue a group newsletter to share information on the group's financial results, new employee introductions, and the latest information on each company.
In addition, we have established in our Group Code of Conduct that “We will always treat our shareholders, suppliers, employees and families with respect and integrity'' and all executives and employees of the Group share the way of thinking toward our stakeholders. We are working hard to make it materialized.

ARCS Group's group philosophy is “ARCS Group becomes a lifeline for each community. We contribute to affluent lifestyles by providing valuable merchandise and services at low prices,” and our business domain is not limited to food distribution, but also products and services necessary for daily life. We aim to become a company that can expand into services and respond to every life period. We offer a free home delivery service for purchased products to elderly customers, pregnant customers, and customers with physical disabilities, and we are implementing a campaign to bring your own bag when they change to charge for garbage collection in each municipality. We contribute to local communities by providing safe products and services.

We have established reporting desks both inside and outside the company to practice fair and transparent management.

Under the philosophy of “Based on right rather than profit,“ ARCS Group has set up reporting desks within the company's compliance group and an outside law firm so that employees who discover internal fraud or problems can report them without hesitation. . In order to ensure that whistleblowers do not suffer any disadvantage, we thoroughly manage the personal information of whistleblowers, and we disseminate reported cases as "compliance news" to all employees in an effort to prevent recurrence.​

We have established a Compliance and Risk Management Committee to ensure that our corporate philosophy permeates.​

The Compliance and Risk Committee, established as an organization to oversee compliance and risk management for the entire ARCS Group, is chaired by the president himself, and educates all executives and employees about related laws and regulations, the group philosophy, and the code of conduct. We thoroughly educate our employees on the basics of corporate governance and compliance. Additionally, we distribute the ARCS Group Philosophy, which describes our corporate philosophy and behavioral guidelines, to all executives and employees, in order to spread our corporate philosophy and share our vision (goals).
